Advanced Diagnostics Health System, along with a Texas-based doctor, Atul Chopra, and several of the system's subsidiaries, is being sued by Gulf Capital Bank over an alleged failure to repay a loan originally issued for $19 million in November 2020. The lawsuit, filed on Monday, August 19th, in a Houston court, claims the outstanding amount has now grown to over $20 million. According to the bank, the defendants signed guaranty agreements promising full and timely payment if Advanced Diagnostics defaulted, which the bank claims has occurred. Gulf Capital Bank notified Advanced Diagnostics in February 2023 about the failure to deliver certain financial statements and interest payments. The suit also alleges that Advanced Diagnostics violated the loan agreement by allowing its subsidiaries to enter into negative covenants, including liens, and by failing to ensure newly formed subsidiaries granted a security interest in their assets to secure the loan obligations. This lawsuit highlights significant financial challenges and legal issues currently faced by Advanced Diagnostics Healthcare System.

Advanced Diagnostics Healthcare System, along with Texas-based doctor Atul Chopra and several subsidiaries, is being sued by Gulf Capital Bank over an allegedly unpaid $19 million loan from November 9, 2020, which has now reportedly grown to over $20 million. According to the lawsuit filed in a Houston court, guaranty agreements were signed by the defendants to ensure full and timely payment if Advanced Diagnostics defaulted. The suit claims the defendants have failed to pay the money owed due to Advanced Diagnostics' failure to make payments. Gulf Capital notified Advanced Diagnostics on February 13, 2023, that certain financial statements and interest due the previous month had not been delivered. Gulf Capital also stated that it learned after this notice that Advanced Diagnostics had allowed its subsidiaries to enter into negative covenants, including liens, which violated the loan agreement. The complaint alleges that the borrower failed to require its newly formed subsidiaries to grant a security interest in substantially all of their assets to secure the obligations and guarantee payment and performance of the obligations. The ownership LLC of Advanced Diagnostics Hospitals & Clinics has filed for bankruptcy for its facility located at 7502 Greenville Avenue in Dallas, Texas, formerly known as Walnut Hill Medical Center. Advanced Diagnostics had purchased the eight-story, 200,000-square-foot facility in 2020 through the LLC, renaming it Advanced Dallas Hospital & Clinics. The hospital had been vacant since 2017. According to the bankruptcy filing, the LLC has $27.2 million in debt and $72.4 million in assets. The facility features a 24-hour emergency room, private patient rooms, and specialty clinics and was valued at $30 million in 2023. Advanced Diagnostics operates two hospitals in the Houston area and one in Odessa. [4]

A $19 million class action settlement was announced in a lawsuit brought by a participant in Advanced Diagnostic Group's employee stock plan. The lawsuit, filed in the U.S. District Court for the Middle District of Florida, alleged that company executives, GreatBanc Trust Co., and partners at a private finance firm drained the value of the plan for personal benefit. The settlement is expected to provide gross payments exceeding $100,000 to 185 individuals who received distributions from the stock plan. The settlement amount represents between 22% and 28% of the plan participants' maximum estimated damages and challenged the 2015 formation of the Advanced Diagnostic Group entity. [3, 12]
